These Terms of Service ("Terms") govern your use of the website eagle-logic.com and related pages (the "Site"), operated by State Space Systems LLC, d/b/a Eagle Logic ("Eagle Logic," "we," "us"), 131 W Seneca St, Ste B-124, Manlius, NY 13104. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Purchasing or using the PRIOR software is governed by the separate Subscriber Agreement & Software License (EULA), and your data by our Privacy Policy. Where those conflict with these Terms for the software or your data, they control for their subject matter.
1. Use of the Site
We grant you a limited, revocable, non-exclusive license to access and use the Site for your personal or internal business purposes. You will not: (a) use the Site unlawfully or in violation of these Terms; (b) copy, scrape, or republish Site content except as permitted; (c) interfere with or disrupt the Site, probe its security, or attempt unauthorized access; (d) misuse forms or automated systems to submit false, abusive, or excessive requests.
2. Intellectual property
The Site and its content — text, graphics, logos, the "Eagle Logic" and "PRIOR" marks, and design — are owned by Eagle Logic or its licensors and protected by intellectual-property laws. Except for the limited license in §1, no rights are granted.
3. Purchases
Purchases, free trials, and licenses are handled through our checkout (payments via Stripe) and are governed by the Subscriber Agreement and Refund Policy. Prices and offerings may change.
4. Communications
If you submit the trial or mailing-list forms, you consent to receive the related emails. Marketing emails are opt-in and include an unsubscribe link. See the Privacy Policy.
5. Third-party links & services
The Site may link to or rely on third-party services (e.g., Stripe, Cloudflare). We are not responsible for third-party content, sites, or services, which are governed by their own terms.
6. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Site will be uninterrupted, secure, or error-free. Any performance, benchmark, or capability statements on the Site are provided for general information and may be updated; they are subject to the disclaimers and safety notice in the Subscriber Agreement.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAGLE LOGIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY RELATING TO THE SITE WILL NOT EXCEED USD $100.
8. Indemnification
You will indemnify and hold Eagle Logic harmless from claims arising out of your misuse of the Site or violation of these Terms.
9. Changes
We may modify these Terms; the updated version is effective when posted. Your continued use constitutes acceptance.
10. Governing law; binding arbitration
These Terms are governed by the laws of the State of New York and the U.S. Federal Arbitration Act, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Onondaga County, New York. Each party waives any right to a jury trial and to bring or participate in a class or representative action. Notwithstanding the above, either party may bring an individual claim in small-claims court or seek injunctive relief in the courts located in Onondaga County, New York. (Disputes about the PRIOR software are governed by the dispute provisions of the Subscriber Agreement.)
